Section 2No Professional Advice — Extended Disclaimer
The Schneider Axiom methodology is an educational framework for diagnosing and resolving governing business constraints. It is not a substitute for — and is not intended to replace — legal counsel, financial advisory services, accounting services, psychological services, or any other licensed professional services.
You should always consult qualified, licensed professionals for advice tailored to your specific legal, financial, tax, psychological, medical, and business circumstances before making any significant decision. SAI expressly recommends that you maintain your existing professional advisory relationships and that any SAI diagnostic finding or methodology insight be reviewed with your existing advisors before being acted upon.
No SAI credential, certification, white paper, diagnostic finding, course material, or personal communication from Lawrence M. Schneider or any SAI representative constitutes professional advice of any regulated kind in any jurisdiction. Do not substitute SAI educational content for licensed professional advice.
Section 3Credential and Certification Disclaimer
SAI credential programs — the Foundational Diagnostic Credential (FDC), the Certified Axiom Strategist (CAS), and the Certified Axiom Executive (CAE) — are educational programs that transmit the Schneider Axiom constraint diagnostic methodology to enrolled candidates. Issuance of an SAI credential represents only that the credentialed individual has completed the designated coursework, assessments, and requirements for that credential level as determined by Schneider Axiom Institute LLC at the time of completion.
- That the credentialed individual holds any professional license of any kind in any jurisdiction
- That the credentialed individual is guaranteed or likely to produce any specific business result for any client
- That the credentialed individual has been vetted, screened, background-checked, investigated, character-assessed, or endorsed by SAI beyond the completion of the specific educational requirements of the program
- That the credentialed individual is an employee, agent, independent contractor, partner, representative, or affiliate of Schneider Axiom Institute LLC in any capacity whatsoever
- That SAI assumes any responsibility — financial, legal, professional, ethical, or otherwise — for the conduct, advice, decisions, errors, omissions, misrepresentations, or outcomes of any credentialed individual in any engagement with any client or third party
- That the credential is equivalent to, comparable with, or recognized by any government agency, professional licensing body, university, accreditation organization, or other regulatory or credentialing authority in any jurisdiction
- That the credentialed individual’s advice, analysis, or recommendations in any client engagement are correct, complete, appropriate, or will produce positive results
Section 4Referral Network Disclaimer
The SAI Practitioner Referral Network is a voluntary directory of individuals who hold current CAS or CAE certification from Schneider Axiom Institute and who have elected to list themselves as available for professional engagement.
SAI does not and is not responsible for the following — in whole or in part — under any circumstances, regardless of how the claim is framed or under what legal theory it is asserted:
- The professional qualifications, background, character, licensing status, fitness, reputation, prior conduct, or suitability of any listed practitioner for any particular engagement
- The accuracy, completeness, currency, or truthfulness of any information provided by a listed practitioner in their directory profile or in any communication with any client
- The quality, accuracy, appropriateness, completeness, timeliness, or outcomes of any advice, service, recommendation, analysis, deliverable, or other work product provided by a listed practitioner in any engagement
- Any representation, promise, warranty, guarantee, or commitment made by a listed practitioner to any client — whether verbal, written, implied, or otherwise
- Any financial loss, business loss, lost profits, lost revenue, lost opportunities, reputational harm, personal harm, consequential damage, or harm of any kind arising from or related to an engagement with a listed practitioner
- Any dispute, claim, demand, arbitration, or legal proceeding of any kind arising between a client and a listed practitioner
- Any harm, loss, or damage arising from a practitioner’s failure to disclose relevant information, failure to perform as promised, misrepresentation, negligence, fraud, or any other act or omission
You are solely and entirely responsible for conducting your own independent due diligence before engaging any practitioner — including but not limited to verifying professional licenses where applicable, checking references, conducting background verification, reviewing the practitioner’s qualifications and experience for your specific engagement, and entering into a written engagement agreement directly with the practitioner that specifies scope, deliverables, fees, timelines, confidentiality, and dispute resolution before any work begins.
Your use of the Referral Network directory constitutes your express, voluntary, unconditional, and irrevocable acknowledgment and acceptance of every term in this Section 4 and in the Terms of Service Sections governing the Referral Network. If you do not agree with these terms, do not use the Referral Network.
Section 5No Guarantee of Results
The $89 Business Constraint Diagnostic identifies a governing structural constraint in your specific business based on your responses to the 81-question assessment. The accuracy of the finding depends entirely on the honesty, accuracy, and specificity of your answers. The finding names a constraint and provides a corrective direction — it does not resolve the constraint. Resolution depends entirely on your own effort, judgment, decisions, resources, and implementation following receipt of the finding. SAI is not responsible for what you do — or fail to do — with the diagnostic finding.
Business results from any SAI product, credential program, or practitioner engagement depend on factors entirely outside SAI’s knowledge, prediction, or control — including but not limited to market conditions, competitive dynamics, management decisions, team capability and performance, capital availability, operational variables, regulatory environment, timing, economic conditions, and the individual capability and effort of the business owner and their team.
Testimonials, case studies, income projections, and examples published on this website reflect individual experiences under individual circumstances at a specific point in time. They are not representative of typical results. They are not a prediction, implication, suggestion, or guarantee that you will achieve the same, similar, or any results. Individual results vary. Every business constraint is different. Every business context is different. No outcome is guaranteed.
Section 6White Paper, Published Content, and Opinion Disclaimer
Schneider Axiom Institute publishes a series of practitioner white papers and academic papers authored by Lawrence M. Schneider. These papers present the SAI methodology, constraint framework, and the author’s observations, analyses, and conclusions regarding business education, professional credentialing systems, advisory practices, management methodology, and the adequacy of existing frameworks for identifying and resolving governing business constraints.
Nature of Published Content
The SAI white paper series and all published content constitute the opinions, observations, and analytical conclusions of Lawrence M. Schneider based on his direct operating experience over fifty-plus years and his independent analysis of publicly available information. The papers are not peer-reviewed academic publications, not legal opinions, not regulatory filings, not audited financial analyses, and not investment or securities research of any kind.Opinion and Fair Comment
All statements in SAI white papers and published content regarding named institutions, organizations, companies, credential bodies, methodologies, frameworks, and professional associations constitute protected opinion and fair comment on matters of substantial public interest. These statements are made in the context of good-faith intellectual debate regarding the adequacy of existing business education, credentialing, and advisory methodologies — a matter of legitimate public concern affecting millions of business owners and the professionals who advise them.SAI does not engage in commercial disparagement as defined under 15 U.S.C. § 1125(a) or any comparable state statute. Factual claims in SAI publications are based on publicly available information and are made in good faith. Analytical and interpretive conclusions represent the author’s opinion and are protected expression under the First Amendment to the United States Constitution and applicable state law equivalents.
Disagreement with SAI’s analytical conclusions, methodology comparisons, or institutional critiques does not constitute grounds for legal action. It constitutes grounds for a published response — which SAI welcomes, invites, and will engage with directly.
No Endorsement by Named Parties
References to specific institutions, companies, organizations, credential bodies, or methodologies in any SAI publication are made for purposes of factual analysis, academic commentary, and intellectual debate. SAI does not represent that any institution, company, or individual named in any white paper has endorsed, reviewed, approved, or agreed with any characterization, comparison, or conclusion in that paper. Named parties have not authorized their inclusion and their inclusion does not imply any affiliation with SAI.Accuracy and Corrections
All factual assertions about named institutions and organizations are based on publicly available information at the time of writing. SAI makes reasonable efforts to ensure factual accuracy but does not warrant that all information is current or complete at the time of reading.SAI actively welcomes factual corrections. If you believe any specific factual claim in any SAI publication is demonstrably incorrect based on verifiable, publicly available evidence, submit your correction in writing with supporting documentation to info@schneideraxiom.org with the subject line: Factual Correction — [Document Title]. We will review all substantive factual corrections promptly and issue written corrections where the evidence warrants.
Reader Responsibility
Nothing in any SAI white paper or published content constitutes legal, financial, regulatory, or licensed professional advice of any kind. Readers should not take or refrain from any professional, academic, institutional, or business action on the basis of any SAI publication without independent verification of all factual claims and consultation with appropriate licensed professionals familiar with their specific circumstances and jurisdiction.Section 7Testimonials and Case Studies
Testimonials, case studies, success stories, and outcome descriptions published on this website represent voluntary statements from individual users describing their own experiences. They are published in good faith and reflect the individual’s genuine experience at a specific point in time.
SAI does not fabricate, manufacture, or materially alter testimonials. Where testimonials are condensed for length, the substantive meaning is preserved. Where testimonials are anonymous or attributed to initials only, a complete version is maintained in our records. Paid endorsements, if any, are disclosed in accordance with FTC guidelines.
Section 8Forward-Looking Statements
Certain statements on this website — including revenue projections, affiliate income estimates, credential program outcome descriptions, and practitioner fee ranges — constitute forward-looking statements. These statements are based on current assumptions and expectations and are subject to significant risks, uncertainties, and variables outside SAI’s knowledge or control.
Section 9Intellectual Property
All content on this website and in all SAI products — including text, graphics, logos, program names, methodology names, diagnostic instruments, frameworks, assessment tools, white papers, credential marks, course materials, video content, audio content, and all other materials in any format — is the exclusive proprietary intellectual property of Schneider Axiom Institute LLC and is protected by United States and international copyright, trademark, trade secret, and intellectual property law.
Protected proprietary assets include without limitation: the Schneider Axiom Institute name and all associated marks; the Seven Classes of Business Constraint framework; the $89 Business Constraint Diagnostic instrument and all 81 questions; the FDC, CAS, and CAE credential names and marks; the SAI eBizBooks Series; the Axiom Leaders Circle; and all white papers and academic documents.
This prohibition applies regardless of whether attribution is provided, whether the use is transformative, whether the use is non-commercial, and whether the infringing content is published online or offline. SAI enforces its intellectual property rights vigorously, without exception, and without prior warning.
Specific prohibitions include:
- Using the SAI methodology, diagnostic instrument, or Seven Classes framework to develop any competing product, service, or training program without a written license from SAI
- Training or fine-tuning any artificial intelligence model on any SAI content without explicit written authorization
- Reproducing any portion of any SAI white paper, course material, or diagnostic instrument in any publication, website, or training material without written permission
- Using any SAI credential mark — FDC, CAS, CAE — after credential revocation or without having earned the credential
Section 10Limitation of Liability
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UNDER WHICH THE CLAIM IS ASSERTED — INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR ANY OTHER THEORY — AND REGARDLESS OF WHETHER SAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SAI’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING UNDER THIS DISCLAIMER OR RELATED TO ANY SAI PROGRAM, PRODUCT, OR SERVICE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO SAI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE SPECIFIC EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. THE FOREGOING LIMITATIONS REPRESENT A REASONABLE ALLOCATION OF RISK BETWEEN SAI AND ITS USERS AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN SAI AND YOU.
Section 11Indemnification and Hold Harmless
By using this website, purchasing any SAI product, enrolling in any SAI program, or engaging any practitioner through the Referral Network, you agree to fully, unconditionally, and permanently defend, indemnify, and hold harmless Schneider Axiom Institute LLC, its officers, directors, members, managers, employees, agents, contractors, affiliates, successors, and assigns from and against any and all claims, demands, actions, investigations, damages, obligations, losses, liabilities, costs, and expenses — including reasonable attorneys’ fees, court costs, and expert fees — arising from or related to:
- Your use of this website or any SAI content, product, or service in any manner
- Your enrollment in any SAI program or credential
- Your engagement with any Referral Network practitioner
- Your violation of any provision of this Disclaimer or the Terms of Service
- Your violation of any applicable law, regulation, or third-party right
- Any business decision you make based on any SAI content, diagnostic finding, methodology, white paper, or recommendation
- Any third-party claim arising from your use of SAI methodologies, credentials, or content in any professional context
- Your misrepresentation of any SAI credential, the scope of any SAI program, or any affiliation with SAI
- Any claim arising from your unauthorized use of any SAI intellectual property
- Any claim by any person harmed by a practitioner you referred or recommended to them
This indemnification obligation is unconditional, applies to known and unknown claims, foreseen and unforeseen claims, and survives permanently the termination of your use of our website and services.
Section 12Assumption of Risk
You acknowledge that:
- Business improvement involves inherent uncertainty and risk that no diagnostic methodology can eliminate
- The $89 Business Constraint Diagnostic finding represents a structured analytical conclusion — not a medical-grade diagnosis, a legal determination, or a guaranteed prescription
- Acting on any diagnostic finding, credential program insight, or practitioner recommendation involves business judgment that is entirely your own responsibility
- SAI credential programs teach a methodology — they do not guarantee that graduates will apply it correctly, effectively, or with positive results in every engagement
- Practitioners listed in the Referral Network are independent professionals whose performance, conduct, and outcomes are entirely their own responsibility and entirely outside SAI’s control
- The white papers published by SAI are written to provoke intellectual debate and institutional response — if you are named, referenced, or discussed in any SAI publication, the risk that that publication will affect your professional reputation is a risk you assumed by operating in a public professional capacity subject to commentary and criticism
Section 13Severability of Disclaimer Provisions
If any provision or portion of this Disclaimer is found to be invalid, illegal, void, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed from the Disclaimer if modification is not possible. The invalidity or unenforceability of any provision does not affect the validity or enforceability of any other provision. All remaining provisions continue in full force and effect. The parties intend that this Disclaimer be enforced to the maximum extent permissible under applicable law.
Section 14Governing Law and Dispute Resolution
This Disclaimer and all disputes arising from or related to it — including disputes about its formation, interpretation, validity, scope, or enforceability — shall be governed exclusively by the laws of the State of South Carolina, United States, without regard to any conflict of law principles that would require application of any other jurisdiction’s law.
All disputes arising from this Disclaimer shall be resolved in accordance with the Dispute Resolution provisions of the SAI Terms of Service, incorporated herein by reference, including the mandatory informal resolution requirement, the exclusive jurisdiction of state and federal courts in Greenville County, South Carolina, the irrevocable class action waiver, and the one-year statute of limitations on all claims.

Your continued use of this website following any modification constitutes your unconditional acceptance of the revised Disclaimer in its entirety.
