Issuance of an SAI credential represents only that the credentialed individual has completed the designated coursework, assessments, and requirements for that credential level as determined by Schneider Axiom Institute LLC at the time of completion.
- That the credentialed individual holds any professional license of any kind in any jurisdiction
- That the credentialed individual is guaranteed or likely to produce any specific business result for any client
- That the credentialed individual has been vetted, screened, background-checked, investigated, character-assessed, or endorsed by SAI beyond the completion of the specific educational requirements of the program
- That the credentialed individual is an employee, agent, independent contractor, partner, representative, or affiliate of Schneider Axiom Institute LLC in any capacity whatsoever
- That SAI assumes any responsibility — financial, legal, professional, ethical, or otherwise — for the conduct, advice, decisions, errors, omissions, misrepresentations, or outcomes of any credentialed individual in any engagement with any client or third party

Section 4Referral Network Disclaimer
The SAI Practitioner Referral Network is a voluntary directory of individuals who hold current CAS or CAE certification from Schneider Axiom Institute and who have elected to list themselves as available for professional engagement.
SAI does not and is not responsible for the following — in whole or in part — under any circumstances, regardless of how the claim is framed or under what legal theory it is asserted:
- The professional qualifications, background, character, licensing status, fitness, reputation, prior conduct, or suitability of any listed practitioner for any particular engagement
- The accuracy, completeness, currency, or truthfulness of any information provided by a listed practitioner in their directory profile or in any communication with any client
- The quality, accuracy, appropriateness, completeness, timeliness, or outcomes of any advice, service, recommendation, analysis, deliverable, or other work product provided by a listed practitioner in any engagement
- Any representation, promise, warranty, guarantee, or commitment made by a listed practitioner to any client — whether verbal, written, implied, or otherwise
- Any financial loss, business loss, lost profits, lost revenue, lost opportunities, reputational harm, personal harm, consequential damage, or harm of any kind arising from or related to an engagement with a listed practitioner
- Any dispute, claim, demand, arbitration, or legal proceeding of any kind arising between a client and a listed practitioner
- Any harm, loss, or damage arising from a practitioner’s failure to disclose relevant information, failure to perform as promised, misrepresentation, negligence, fraud, or any other act or omission
You are solely and entirely responsible for conducting your own independent due diligence before engaging any practitioner — including but not limited to verifying professional licenses where applicable, checking references, conducting background verification, reviewing the practitioner’s qualifications and experience for your specific engagement, and entering into a written engagement agreement directly with the practitioner that specifies scope, deliverables, fees, timelines, confidentiality, and dispute resolution before any work begins.
Your use of the Referral Network directory constitutes your express, voluntary, unconditional, and irrevocable acknowledgment and acceptance of every term in this Section 4 and in the Terms of Service Sections governing the Referral Network. If you do not agree with these terms, do not use the Referral Network.
Section 5No Guarantee of Results
The $89 Business Constraint Diagnostic identifies a governing structural constraint in your specific business based on your responses to the 81-question assessment. The accuracy of the finding depends entirely on the honesty, accuracy, and specificity of your answers. The finding names a constraint and provides a corrective direction — it does not resolve the constraint. Resolution depends entirely on your own effort, judgment, decisions, resources, and implementation following receipt of the finding. SAI is not responsible for what you do — or fail to do — with the diagnostic finding.
Business results from any SAI product, credential program, or practitioner engagement depend on factors entirely outside SAI’s knowledge, prediction, or control — including but not limited to market conditions, competitive dynamics, management decisions, team capability and performance, capital availability, operational variables, regulatory environment, timing, economic conditions, and the individual capability and effort of the business owner and their team.

- Your use of this website or any SAI content, product, or service in any manner
- Your enrollment in any SAI program or credential
- Your engagement with any Referral Network practitioner
- Your violation of any provision of this Disclaimer or the Terms of Service
- Your violation of any applicable law, regulation, or third-party right
- Any business decision you make based on any SAI content, diagnostic finding, methodology, white paper, or recommendation
- Any third-party claim arising from your use of SAI methodologies, credentials, or content in any professional context

This indemnification obligation is unconditional, applies to known and unknown claims, foreseen and unforeseen claims, and survives permanently the termination of your use of our website and services.

- The $89 Business Constraint Diagnostic finding represents a structured analytical conclusion — not a medical-grade diagnosis, a legal determination, or a guaranteed prescription
- Acting on any diagnostic finding, credential program insight, or practitioner recommendation involves business judgment that is entirely your own responsibility
- SAI credential programs teach a methodology — they do not guarantee that graduates will apply it correctly, effectively, or with positive results in every engagement
- Practitioners listed in the Referral Network are independent professionals whose performance, conduct, and outcomes are entirely their own responsibility and entirely outside SAI’s control
- The white papers published by SAI are written to provoke intellectual debate and institutional response — if you are named, referenced, or discussed in any SAI publication, the risk that that publication will affect your professional reputation is a risk you assumed by operating in a public professional capacity subject to commentary and criticism
Section 13Severability of Disclaimer Provisions
If any provision or portion of this Disclaimer is found to be invalid, illegal, void, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed from the Disclaimer if modification is not possible. The invalidity or unenforceability of any provision does not affect the validity or enforceability of any other provision. All remaining provisions continue in full force and effect. SAI DOES NOT PERFORM, SUPERVISE, DIRECT, CONTROL, MANAGE, OR ASSUME RESPONSIBILITY FOR WORK, SERVICES, PRODUCTS, REPRESENTATIONS, ADVICE, CONDUCT, TRANSACTIONS, OR OBLIGATIONS OF INDEPENDENT GLOBAL NETWORK PARTICIPANTS.
2. NO ENDORSEMENT, RECOMMENDATION, OR GUARANTEE

Completion of the Business Constraint Diagnostic™, membership in The Axiom Leaders Circle™, or possession of an SAI credential must not be interpreted beyond what that particular status represents.
Axiom Leaders Circle™ membership is not a professional license, certification of general professional competence, or authorization to provide regulated professional services.
Completion of the Business Constraint Diagnostic™ does not qualify an individual to diagnose other businesses.
An SAI credential reflects completion of the applicable SAI learning and assessment requirements. It does not replace any license, registration, certification, authorization, educational requirement, insurance requirement, or regulatory qualification imposed by a governmental authority, professional body, or other third party.
Users remain responsible for independently determining whether a participant possesses the qualifications required for the contemplated work.
4. USER DUE DILIGENCE
Every Global Network user is responsible for independently determining whether to communicate with, retain, employ, hire, engage, purchase from, sell to, collaborate with, refer to, contract with, invest in, or otherwise transact with another participant.
Where appropriate, users should independently verify matters such as:
identity · qualifications · education · experience · references · credentials · professional licenses · insurance · authority · regulatory standing · financial condition · reputation · product or service suitability · contractual terms · legal compliance
Users are also responsible for conducting whatever legal, financial, accounting, tax, regulatory, employment, insurance, cybersecurity, privacy, operational, commercial, supplier, product, import/export, customs, sanctions, international, or other due diligence is appropriate to the proposed relationship or transaction.

5. PROFESSIONAL AND BUSINESS RELATIONSHIPS
Unless SAI expressly states otherwise in writing, professional engagements, consulting engagements, advisory relationships, supplier relationships, collaborations, referrals, employment arrangements, purchases, sales, business opportunities, and other transactions originate and occur between the applicable independent parties.
Those parties are responsible for determining their own:
scope of work, contractual obligations, responsibilities, deliverables, compensation, professional fees, payment terms, warranties, insurance requirements, confidentiality requirements, intellectual-property arrangements, referral arrangements, supplier terms, commercial conditions, and other terms.
SAI PROVIDES THE CONNECTION. THE PARTICIPANTS DECIDE WHAT HAPPENS NEXT.
SAI is not responsible for enforcing contracts entered into between independent participants or for collecting debts, resolving fee disputes, guaranteeing payment, compelling performance, or determining whether either party has fulfilled an independent contractual obligation.
6. PROFESSIONAL FEES, REFERRALS, AND REGULATED PROFESSIONS
SAI does not establish, negotiate, recommend, approve, or control independently negotiated professional fees or commercial terms between independent participants.
SAI may charge separate fees for its own platform services, subscriptions, listings, technology capabilities, transactions, programs, or other services where applicable and legally permissible.
Certain professions and activities—including law, accounting, investment services, securities, insurance, healthcare, real estate, and other regulated fields—may be subject to restrictions concerning referrals, fee sharing, solicitation, advertising, compensation, professional independence, conflicts of interest, or other conduct.
SAI DOES NOT AUTHORIZE ANY PARTICIPANT TO ENTER INTO AN ARRANGEMENT THAT VIOLATES APPLICABLE LAW, LICENSING REQUIREMENTS, ETHICAL RULES, OR PROFESSIONAL-STANDARDS REQUIREMENTS.
SAI may restrict, modify, or prohibit particular compensation methods, referral arrangements, participant categories, professional activities, or platform capabilities when SAI determines that legal, regulatory, professional, ethical, or risk-management considerations warrant doing so.
Each regulated professional remains independently responsible for determining whether participation in any particular opportunity, referral, compensation arrangement, transaction, or Network capability is permitted under the laws, regulations, licensing requirements, and professional standards applicable to that individual or organization.
7. DIAGNOSTIC PERSPECTIVE EXCHANGE™
Where the Global Network permits business owners or other users to present a business situation for preliminary professional perspectives, those communications are intended to facilitate inquiry and professional discussion.
A short submission, exchange, comment, question, preliminary observation, or professional perspective through the Diagnostic Perspective Exchange™ does not constitute a complete diagnosis of a business and should not be treated as one.
Participants responding through the Exchange are responsible for accurately representing the nature and limitations of their comments.
Users remain responsible for deciding whether further investigation, formal diagnosis, professional engagement, or other action is appropriate.

SAI may permit users or participants to post or discover employment opportunities, executive opportunities, consulting projects, board opportunities, business opportunities, partnerships, professional opportunities, companies, resources, or other listings.
SAI does not guarantee that any opportunity is genuine, current, legally compliant, financially viable, suitable, available, or accurately described.
SAI does not guarantee that an applicant will receive an interview, engagement, contract, transaction, referral, employment offer, appointment, or other result.
Employers, applicants, businesses, professionals, buyers, sellers, and other parties are responsible for conducting their own investigation and complying with all laws applicable to their respective activities.
9. BUSINESS RESOURCES AND THIRD-PARTY MATERIALS
Global Network participants may, where permitted, make resources available through the Network, including publications, templates, tools, documents, software, dashboards, educational materials, research, business resources, links, or other content.
Unless expressly identified as an SAI resource, such material is provided by an independent third party.
SAI does not guarantee the accuracy, completeness, effectiveness, suitability, legality, security, fitness, or usefulness of third-party resources.
Users should independently evaluate resources before relying upon or implementing them.
Third-party software, websites, services, or resources may also be governed by separate terms and privacy practices established by their respective providers.
10. PARTICIPANT CONTENT AND INTELLECTUAL PROPERTY
Participants remain responsible for content they submit, upload, publish, display, distribute, or otherwise provide through the Global Network.
Participants must possess all ownership rights, licenses, permissions, releases, consents, and other authority required to provide such content.
Participants may not submit or distribute material that infringes or misappropriates another party's copyright, trademark, patent, trade secret, privacy right, publicity right, contractual right, confidential information, or other proprietary or intellectual-property right.
Where content is submitted for publication or display through the Global Network, the participant grants SAI the rights described in the applicable Global Network Terms of Use to host, store, reproduce, format, technically adapt, display, transmit, and otherwise use that content as reasonably necessary to provide and administer the Network.
SAI may remove or restrict access to content that SAI reasonably believes may violate applicable law, third-party rights, Network requirements, or SAI policies.
Nothing contained within the Global Network grants participants a right to reproduce, distribute, modify, publish, sell, sublicense, teach from, commercially exploit, or otherwise use proprietary SAI materials except as expressly authorized by SAI in writing.
11. INTERNATIONAL AND CROSS-BORDER PARTICIPATION
The Global Network may facilitate connections between individuals and organizations located in different states, countries, and jurisdictions.
The availability of a participant, product, service, resource, supplier, professional, opportunity, or transaction through the Global Network does not constitute a representation that it may lawfully be offered, purchased, delivered, performed, shipped, imported, exported, licensed, advertised, or otherwise used in every jurisdiction.
Participants and users are independently responsible for compliance with laws and requirements applicable to their activities, including those concerning:
professional licensing, taxation, customs, duties, imports and exports, sanctions, trade restrictions, data protection, privacy, employment, immigration, professional conduct, financial regulation, product regulation, intellectual property, contracting, and other commercial activities.
SAI DOES NOT GUARANTEE THAT A GLOBAL NETWORK ACTIVITY PERMITTED IN ONE JURISDICTION IS PERMITTED IN ANOTHER.
Users engaging in cross-border relationships should obtain appropriate professional advice before entering into significant transactions or engagements.
12. PLATFORM INFORMATION, SEARCH, MATCHING, AND TECHNOLOGY
The Global Network may use search functions, filters, profile information, technology, automated processes, communications tools, matching features, recommendations, categories, algorithms, or other platform capabilities to help users discover potentially relevant participants, resources, or opportunities.
Such functionality is provided for informational and discovery purposes.
A search result, match, ranking, profile placement, recommendation generated by platform functionality, or other technology-assisted result does not constitute an SAI determination that the participant or opportunity is suitable for a particular user.
SAI does not warrant that technology-based functions will identify every relevant participant or opportunity, exclude every irrelevant result, operate without interruption, or produce error-free results.
13. PLATFORM PROVIDED “AS IS” AND “AS AVAILABLE”
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE GLOBAL NETWORK, ITS CONTENT, DATA, SEARCH FUNCTIONS, LISTINGS, PROFILES, MATCHING FEATURES, COMMUNICATION TOOLS, RESOURCES, NOTIFICATIONS, CONNECTIONS, AND OTHER PLATFORM CAPABILITIES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
SAI MAKES NO WARRANTY, EXPRESS OR IMPLIED, THAT THE GLOBAL NETWORK WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, CURRENT, ACCURATE, OR AVAILABLE AT ALL TIMES; THAT COMMUNICATIONS OR NOTIFICATIONS WILL ALWAYS BE DELIVERED; THAT INFORMATION WILL ALWAYS BE ACCURATE; OR THAT USE OF THE NETWORK WILL PRODUCE ANY PARTICULAR PROFESSIONAL, BUSINESS, FINANCIAL, EMPLOYMENT, COMMERCIAL, OR OTHER RESULT.

independent participants; professional services; business services; advice; products; employment relationships; suppliers; listings; resources; opportunities; referrals; communications; platform errors; unavailable services; omitted or inaccurate information; transactions; commercial relationships; third-party conduct; or decisions made in reliance upon Global Network information.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A GLOBAL NETWORK SERVICE OR CAPABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT ACTUALLY PAID BY THE CLAIMANT DIRECTLY TO SAI FOR THE SPECIFIC GLOBAL NETWORK SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The foregoing limitations apply regardless of the legal theory asserted and even if SAI has been advised of the possibility of such damages.
NOTHING IN THIS DISCLAIMER EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
15. SECURITY AND THIRD-PARTY CONDUCT
SAI may take reasonable measures intended to protect the Global Network and its users, but no online platform can guarantee complete security.
Users are responsible for maintaining appropriate security over their own accounts, devices, communications, data, passwords, and business information.
SAI is not responsible for fraudulent communications, impersonation, scams, cybersecurity incidents, malicious activity, unauthorized third-party conduct, or other misconduct by independent persons except to the extent responsibility cannot lawfully be excluded.
Users should independently verify unusual payment requests, account changes, banking instructions, identity claims, investment requests, supplier changes, or other sensitive communications before acting upon them.
16. SUSPENSION, REMOVAL, AND TERMINATION
SAI reserves the right, subject to applicable law and contractual obligations, to reject, restrict, suspend, disable, remove, or terminate a participant, account, profile, listing, resource, opportunity, submission, transaction capability, or other Global Network participation.
SAI may take such action where it reasonably believes action is appropriate to protect SAI, Network users, third parties, professional standards, legal or regulatory compliance, intellectual property, platform security, Network integrity, or the intended purpose of the Global Network.
SAI is not obligated to continue providing any particular Network capability indefinitely and may modify, suspend, replace, or discontinue capabilities subject to applicable contractual obligations.
17. NO PROFESSIONAL ADVICE FROM SAI
Unless SAI expressly enters into a separate written professional engagement identifying otherwise, information provided through the Global Network should not be interpreted as legal, accounting, tax, investment, securities, insurance, medical, regulatory, employment, or other licensed professional advice from Schneider Axiom Institute LLC.
Users should obtain advice from appropriately qualified professionals when circumstances require it.
18. NO GUARANTEE OF RESULTS
SAI does not guarantee that participation in the Global Network will result in:
clients, customers, referrals, consulting engagements, employment, professional opportunities, transactions, sales, revenue, partnerships, suppliers, financing, introductions, business growth, improved performance, professional advancement, or any other particular outcome.
The value obtained from a professional or business network necessarily depends upon many factors outside SAI's control.

Use of or participation in certain Global Network capabilities may be governed by additional agreements, policies, rules, eligibility requirements, payment terms, transaction terms, listing requirements, or other conditions.

Do not publish this today as though it has already been legally approved. Put it into Shopify as a draft page and mark it internally DRAFT — COUNSEL REVIEW REQUIRED.
Then have counsel review particularly Sections 6, 10, 13, 14, 16, and 19: regulated-profession compensation, intellectual property, warranty disclaimer, liability limitation, termination, and incorporation of the Terms.
There is intentionally no governing-law, venue, arbitration, jury-waiver, or class-action-waiver clause in this Disclaimer. I would put those in the Global Network Terms of Use, because that is the agreement to which the applicant affirmatively assents. Counsel should choose the governing jurisdiction and dispute mechanism rather than us guessing them.
I would also have counsel decide whether $100 or amounts paid during the preceding twelve months is the appropriate liability cap. I have given you a strong structure, but that specific cap should be deliberately approved.
Once counsel approves it, remove the internal draft notation, publish the page, enter the actual Effective Date, and make GLOBAL NETWORK LEGAL DISCLAIMER a live link from both the Global Network page and the enrollment checkbox.
